Notice is hereby given that the 2026 Annual Meeting of Stockholders (the “Annual Meeting”) of GABA Therapeutics, Inc., a Delaware corporation (the “Company”) will be held on Thursday, September 10, 2026, at 9:30 a.m., Pacific Time, at 5000 Birch Street, West Tower, Suite 3000, Newport Beach, CA 92660.

We have scheduled the Annual Meeting for the following purposes, each of which is described in the Notice of Annual Meeting:

1. electing directors to serve until their terms have expired or until their successors are elected; and
2. transacting such other business as may properly come before the meeting or any adjournment thereof. Shares can only be voted by the registered stockholder or a duly authorized proxy pursuant to Section 1.2 of the Voting Agreement, as amended by Section 3(a) of the Omnibus Amendment (“Eligible Stockholders”).  

The meeting will begin promptly at 9:30 a.m., Pacific Time. Only Eligible Stockholders at the close of business on August 31, 2026, the date fixed by our Board of Directors as the record date for the Annual Meeting, will be entitled to notice of, and to vote at, the meeting and any postponements or adjournments of the meeting.

For a period of at least 10 days prior to the Annual Meeting, a complete list of stockholders entitled to vote at the meeting will be available and open to the examination of any stockholder for any purpose germane to the Annual Meeting during normal business hours at our principal executive offices located at the Company address above.
